By accepting a quote, the Client is deemed to have understood and accepted these terms in their entirety. Usage or purchase of services from SearchNerve implies acknowledgment and acceptance of our terms and conditions.
Acceptance
In the provision of our services, it’s crucial to acknowledge that SearchNerve holds the explicit right to reject any work, media, content, or requests that we, at our sole discretion, find unsuitable.
You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
Costs of Service
The charges for services offered by SearchNerve are outlined in the quotation sent to the Client via email or agreed verbally in person or over the phone.
Unless otherwise agreed, a 40% advance payment is required for website design services. Payment can be made by bank transfer, with details provided in the invoices.
Payment for SEO services can be made on a monthly basis or as a one-time upfront cost for individual projects. Due to the dynamic nature of SEO, the total payment does not correspond to the volume of work performed per month unless agreed upon.
Client Assessment
SearchNerve will grant the Client an opportunity to assess the website’s appearance and content during the design phase and upon completion of overall website development. Materials are considered accepted and approved unless the Client notifies SearchNerve otherwise within ten (10) days. SearchNerve will be in contact during the project to ensure communication is maintained.
Timeline and Content Oversight
SearchNerve will deliver the Client’s website by the specified date in the project proposal or an agreed-upon date with the Client upon receipt of the initial payment, unless a delay is explicitly requested by the Client and mutually agreed upon by SearchNerve.
In exchange, the Client commits to appointing a sole representative as the main point of contact to assist SearchNerve in advancing the commission efficiently and to the Client’s satisfaction.
During the project, SearchNerve will require the Client to provide all relevant website content, including text, images, movies, and sound files. By working with us, you agree to supply the relevant media and content as necessary.
Failure to Provide Necessary Content
To maintain efficiency, SearchNerve must ensure timely execution of scheduled work. There may be instances where we need to decline offers for additional work and inquiries to prioritise the completion of your scheduled tasks.
We kindly request that you provide all necessary information in advance. In situations where progress on your project is hindered due to a lack of provided information within the agreed timeframe, resulting in delays, we reserve the right to apply a surcharge of up to 25%. For projects involving Search Engine Optimization, it is imperative to access to necessary text, tools and media in advance for efficient planning and execution of SEO activities.
Should you agree to supply the required information and subsequently fail to do so within one week of project commencement, we reserve the right to terminate the project, and the remaining balance becomes immediately payable. In essence, this condition emphasises not giving approval to commence until you are fully prepared.
Please note that text content should be submitted as a Microsoft Word, email (or similar) document, with the pages in the supplied document corresponding to the content of the relevant pages on your website. These pages should have the same titles as the agreed website pages. Feel free to reach out if you need clarification on this matter.
Payment Procedures
Invoices will be issued by SearchNerve upon completion but before publishing the live website. Invoices are sent via email and are due upon receipt. Unpaid accounts after thirty (30) days will incur a service charge of the higher of 1.5% or £30 per month.
For any additional costs such as design elements, stock images and other paid assets used as part of the project, the Client agrees to reimburse SearchNerve.
Browser Compatibility
SearchNerve strives to design websites compatible with popular browsers (e.g., Firefox, Internet Explorer 8 & 9, Google Chrome, etc.). However, the Client acknowledges that complete functionality across all browser software and operating systems is not guaranteed.
SearchNerve cannot be held responsible for web pages displaying inadequately in new browser versions released post-handover. In such cases, SearchNerve reserves the right to quote for necessary adjustments.
Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services in writing with one month’s notice in advance.
If in our sole judgement you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
Optional Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new Services and/or features through the website (including, the release of new tools and resources). Such new features and/or Services shall also be subject to these Terms of Service.

Copyright
The Client maintains copyright ownership of data, files, and graphic logos supplied, while granting SearchNerve the rights to publish and utilise said materials. It is the Client’s responsibility to secure permissions and rights for any information or files subject to third-party copyrights. The Client also undertakes to indemnify and hold harmless SearchNerve from any claims resulting from the Client’s negligence or failure to obtain proper copyright permissions. By entering into a contract for website design and/or placement, the Client assures SearchNerve that all necessary permissions and authorities have been obtained, and evidence of such permissions may be requested.
Media Delivery Standards
Unless stated otherwise, text is expected in electronic format, while images and graphics should be provided physically in high-quality print or electronically in .jpeg or .png format. While SearchNerve will make every reasonable attempt to return provided material, such return is not guaranteed.
Work Credit
SearchNerve will include a link in small text at the bottom of the Client’s website. The Client agrees that the developed website and SEO project results may be featured in SearchNerve’s portfolio or presented as a case study. This may include screenshots of the clients website, non-sensitive information as well as growth metrics, traffic graphs and keyword positions to showcase SEO improvements.
Access Requirements
If the Client’s website is to be installed on a third-party server, SearchNerve must be granted temporary read/write access to the Client’s storage directories, accessible via FTP. Additional server configurations might be necessary based on the project’s nature.
Additionally, the Client agrees to provide SearchNerve with access to relevant tools, including but not limited to Google Analytics, Google Search Console, Google Merchant Centre and others to facilitate effective website monitoring and optimization. The Client understands that granting such access is crucial for analysing website performance, and SearchNerve is committed to maintaining the confidentiality and security of any data obtained through these tools.
Post-Installation Alterations
SearchNerve disclaims responsibility for alterations caused by third parties to the Client’s pages once installed. Such alterations include additions, modifications, or deletions.
Domain Names
SearchNerve may purchase domain names on behalf of the Client, but payment and renewal are the Client’s responsibility. Loss due to non or late payment is not SearchNerve’s responsibility.
General
These Terms and Conditions supersede all prior representations, understandings, or agreements. The Client’s payment of an advance fee constitutes agreement to these Terms and Conditions.
Search Engine Optimization
Due to the dynamic nature of SEO, SearchNerve cannot provide a guarantee of improved search engine rankings, results, revenue or leads. Should a cancellation occur or an unpaid, outstanding balance be present, SearchNerve retains the right to withdraw all SEO efforts undertaken thus far and terminate the existing contract without notice.
Applicable Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the United Kingdom.This Agreement is governed by English Law.
Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
Liability
SearchNerve excludes itself from any liability for consequential losses or damages of any kind and loss of business for any reason. SearchNerve, its Employees, or Agents exclude themselves from any liability for loss or damage caused by inaccuracy, omission, or delay or error in the production of the website.
The entire liability of SearchNerve to the Client for any claim or breach, whether arising from negligence or not, is limited to the charges paid for the Services under this Agreement in respect of the breach.
